Terms of Service

These Terms are governed by the laws of the Province of British Columbia, Canada.

By creating an account or using the Sigmato platform, you agree to be bound by these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization. These Terms incorporate by reference the Sigmato Service Agreement signed at onboarding.

1.Acceptance of Terms

These Terms of Service govern your access to and use of the Sigmato (Total Takeoff) platform operated by Sigmatake. By clicking “Get Started,” creating an account, uploading drawings, or otherwise accessing the platform, you agree to be bound by these Terms and our Privacy Policy.

These Terms are entered into electronically and are binding under the BC Electronic Transactions Act, SBC 2001, c 10.

2.The Services

Sigmato provides AI-assisted building material estimation for Canadian residential and commercial construction projects, including:

  • AI analysis of architectural drawings (PDF, DWG, DXF)
  • Extraction of room dimensions, wall lengths, openings, and material specifications
  • Calculation of material quantities per the National Building Code of Canada (NBC) with provincial pricing multipliers for all 13 provinces and territories
  • Generation of a white-labelled Bill of Materials (BOM) spreadsheet in .xlsx format, costs in CAD
  • A Document Readability Score, Estimate Completeness Score, and Assumptions & Flags register with every estimate

Services expressly not included at this time: MEP (plumbing, electrical, HVAC) takeoffs; structural engineering; site supervision; permit applications; procurement; QuickBooks integration.

3.Accounts & Eligibility

To access the Services, you must be at least 18 years of age, register a verified business email, and complete the white-label brand profile (company name is the minimum required field) before submitting drawings.

4.Payment & Late Fees

4.1 Fees

Fees are determined by the project size tier and payment plan selected. All amounts are in Canadian dollars (CAD) exclusive of applicable taxes.

4.2 Late Payment Interest

Late Payment Interest Rate: 1.5% per month (18% per annum)

Amounts unpaid after the due date bear interest at 1.5% per month, compounded monthly, equivalent to 18% per annum, as required under the BC Court Order Interest Act, RSBC 1996, c 79.

Sigmatake may suspend your access to the platform if any payment is 15 or more Business Days overdue.

4.3 Taxes

Applicable GST, HST, QST, or PST is added to all invoices based on your province.

4.4 Payment Timing & Refunds

Payment is collected upfront, at submission — before AI analysis begins and before any score is known. Unused estimates within a bundle that expire at the end of the commitment period are not refundable.

No refunds on a delivered (75%+) estimate, ever.

Once your project scores 75% or higher and is delivered, it is a completed paid task. Your only entitlement from that point is the complimentary reload described in Section 6 — there is no refund path for a delivered estimate under any circumstance.

A below-75% result is different: no Bill of Materials is delivered (see Section 6), so you are expected to resubmit corrected or more complete drawings — free, with no limit on attempts — rather than treat the submission as a dead end. If, after using your free resubmission, you genuinely have no further drawings or information to provide, you may request a refund instead:

  • You must submit the request within 10 business days of your below-75% notification. After that window, no refund is available.
  • Refunds are reviewed, not automatic — approval is not guaranteed simply because a request is submitted.
  • If approved, 80% of the amount paid is refunded to you. Of the 20% withheld, 10% is retained by Sigmatake and 10% is credited toward your next project.
  • Approved refunds are processed within 20 business days.

This refund path applies only to a below-75% (not-delivered) result — see the disclaimer above.

5.AI Disclaimer — Not Professional Advice

READ BEFORE USING ANY ESTIMATE FOR PROCUREMENT OR TENDERING

Sigmato estimates are generated by artificial intelligence and are for informational and preliminary budgeting purposes only. They are NOT a certified quantity survey, licensed engineering assessment, construction contract, or professional opinion from a licensed quantity surveyor, engineer, or architect.

Sigmatake is not a licensed engineering firm, architectural firm, or quantity surveying firm. You are solely responsible for independently verifying all quantities before any procurement or tendering decision, and for obtaining independent professional review before committing to construction contracts.

The Document Readability and Estimate Completeness Scores (Section 6) are an estimate of AI reliability, not a warranty of accuracy. No score — including 100% on either measure — guarantees an estimate is free of errors.

6.Estimate Quality Scores Policy

Every completed analysis is scored on two distinct measures: Document Readability (legibility of the file you submitted) and Estimate Completeness (how complete the drawing's own specifications were for a reliable takeoff). Neither score is a warranty of accuracy — they reflect how much required information was resolved versus assumed, derived, ambiguous, or missing. The lower of the two scores determines what happens next, and — per Section 4.4 — determines whether your payment reflects a completed, delivered task or remains eligible for the free-resubmission/refund path:

Below 75%Not delivered — no Bill of Materials, totals, or preliminary quantities are provided. You are automatically emailed an issues report and invited to resubmit corrected or more complete drawings at no charge.

Every delivered estimate (75% and above) includes an Assumptions, Flags & Corrections report and comes with one complimentary reload: you may resubmit corrected or more complete drawings once at no additional charge. Resubmitting a below-75% result is always free and separate from this complimentary reload — it does not use it up. Additional reloads beyond the one complimentary reload on a delivered estimate are billed as a new estimate.

7.Your Drawings & Content

By uploading drawings, you represent that you have full legal authority to share them with Sigmatake and its sub-processors, that they are the most current approved version, and that they do not infringe third-party intellectual property rights.

8.Intellectual Property

You retain all ownership rights in the drawings you submit. Upon receipt of full payment, you receive a non-exclusive, perpetual licence to use the delivered estimate for your internal business purposes and to share it with your clients and sub-trades.

9.Disclaimer of Warranties & Limitation of Liability

THE SERVICES AND ALL ESTIMATES, BILLS OF MATERIALS, AND OTHER DELIVERABLES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. SIGMATAKE DOES NOT WARRANT THAT ESTIMATES WILL BE FREE OF ERRORS, COMPLETE, OR SUITABLE FOR ANY SPECIFIC PROJECT, BUDGET, OR TENDERING DECISION.

Liability Cap

Sigmatake's total aggregate liability to you shall not exceed the total fees paid by you in the three (3) months immediately preceding the event giving rise to the claim.

Sigmatake is not liable for loss of profit, revenue, or business opportunity; indirect, incidental, or consequential damages; or construction cost overruns arising from reliance on estimates without independent verification.

10.Termination

You may terminate your account on 30 days' written notice. Termination does not entitle you to a refund of any fees paid for estimates commenced or delivered.

11.Governing Law — British Columbia, Canada

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein.

12.Dispute Resolution & Arbitration

Before initiating any formal dispute process, the parties must attempt good faith direct negotiation, then non-binding mediation in Vancouver, BC. If mediation fails, the dispute is finally determined by binding arbitration in Vancouver, BC, under the BC Arbitration Act, SBC 2020, c 2. Disputes under CAD $35,000 may instead proceed to the BC Civil Resolution Tribunal.

13.General Provisions

Sigmatake's target is to deliver estimates within 1 business day of submission (system processing plus admin review combined). This is a typical timeframe, not a guaranteed delivery time — actual turnaround may vary with project complexity, submission volume, or reviewer availability. If any provision of these Terms is found invalid, it is severed and the remaining provisions continue in full force and effect. Sigmatake may update these Terms at any time, with 30 days' notice by email before material changes take effect.
